NOTICE OF PROPOSED PARTIAL ASSET CONTRIBUTION

Under the terms of a private deed dated July 19, 2019, the company PVG, a limited liability company with capital of €359,283 having its head office at 23 Place Jean Premat – CS 20050 – 74220 LA CLUSAZ, registered with the Annecy RCS n°343 377 990, and the company MONTAGNE VACANCES, a limited liability company with capital of €1,000 having its head office at 23 Place Jean Premat – CS 20050 – 74220 LA CLUSAZ, registered with the Annecy RCS no. 832 998 215, have established a project for a partial contribution of assets subject to the demerger regime. Under the terms of this project, the PVG company would contribute its complete tourist residence business to the MONTAGNE VACANCES company.

The accounts of the company PVG and the company MONTAGNE VACANCES, used to establish the conditions of the operation, are those closed on October 31, 2018, the closing date of the last financial year of each of the companies concerned. and approved by deliberation of April 23, 2019.

The contributing and beneficiary companies being under common control, the assets and liabilities contributed by the contributing company are evaluated, in accordance with the provisions of articles 710-1 et seq. of the General Accounting Plan modified by regulation ANC 2017-01 of 5 May 2017, at their book value as of October 31, 2018.

The assessment made on the basis of said net book values results in a value of the assets contributed equal to €476,000 and the liabilities assumed equal to €389,831.58, i.e. a net asset contributed equal to 86,168.42 €. As remuneration and representation of the net assets contributed by PVG, it will be allocated 8,616 new shares of €10 nominal value each, fully paid up, to be created by MONTAGNE VACANCES, by way of increase of capital. This remuneration was determined on the basis of the net book value determined according to the methods defined in the partial asset contribution agreement for the elements contributed.

The company MONTAGNE VACANCES will be the owner and will take possession of the goods and rights contributed to it, as a partial contribution of assets, from the day of definitive completion of said contribution, i.e. at the end of the last of the general meetings called to decide on the contribution described herein.

However, the partial contribution of assets will take effect for tax and accounting purposes retroactively to November 1, 2018. Consequently, all operations carried out since this date and concerning the Contributed Branch of Activity will be considered as having been carried out, both actively and passively, on behalf and for the benefit of MONTAGNE VACANCES.

The contribution made by PVG and the capital increase of MONTAGNE VACANCES which would result therefrom, would only become final subject to, and solely by, the fulfillment of the following conditions precedent:

  • Approval by the Extraordinary General Meeting of the PVG company of this contribution transaction
  • Approval by the Extraordinary General Meeting of the company MONTAGNE VACANCES, of the capital increase indicated above, as a consequence of the contribution, by way of the issue of 8,616 new shares of 10 euros each, allocated to the contributing company as remuneration for its contribution.
  • Obtaining from La Clusaz town hall the absence of exercise of its right of pre-emption;

The fulfillment of these suspensive conditions will be sufficiently established, vis-à-vis anyone, by the submission of certified extracts from the minutes of the General Meetings. The material confirmation of the definitive realization of the partial contribution of assets may take place by any other appropriate means.

In the absence of fulfillment of the above conditions, on September 15, 2019 at the latest, this contribution agreement will be considered null and void, without the need to complete any formality of any nature whatsoever and without compensation from any part.

On the date of completion of the partial contribution of assets, the company MONTAGNE VACANCES will be purely and simply subrogated in a general manner in all rights, actions, obligations and various commitments relating to the goods brought in place of the PVG company.

The company PVG will be jointly and severally liable with the company MONTAGNE VACANCES for the debts transferred in respect of the branch of activity transferred.

The creditors of the companies concerned by the transaction and whose debt predates this notice may file an opposition under the legal conditions and deadlines at the registry of the Annecy commercial court, it being specified that this opposition will not have the effect of prohibit the continuation of the contribution operation.

The proposed partial asset contribution was filed with the Registry of the Annecy Commercial Court on August 1, 2019. For opinion.
